PUBLIC OFFER TO THE CONCLUSION OF THE AGREEMENT FOR THE PROVISION OF “QRCHIK” SERVICE FOR WAITER OF PUBLIC FOOD ESTABLISHMENTS

This Offer is addressed to individuals, an official public offer of "QRCHIK" LLC (hereinafter referred to as the Service Operator or the Operator, depending on the context) to enter into an Agreement for the provision of services for the provision of an automation service for accepting payments for waiter services provided in public catering establishments.

The performance of the actions specified in this Offer is an unconditional and unconditional confirmation of the consent (acceptance) of an individual to enter into an Agreement for the provision of services on the terms, in the manner and to the extent set forth in this Offer (hereinafter referred to as the Agreement or Offer Agreement).

TERMS AND DEFINITIONS

QRCHIK Service / Service is a software package, the exclusive copyright holder of which is the Operator, operating under the QRCHIK trademark, which is an online platform for automating the acceptance of payment (hereinafter referred to as Tips) for the services rendered by waiters in catering establishments, designed to ensure interaction between Service Participants – a catering establishment (hereinafter referred to as the Establishment), its clients (hereinafter referred to as the Guests) and waiters (hereinafter referred to as the Waiter).

Participants of the Service – Guest, Operator, Establishment, Waiter.

Guest is a legally capable, adult individual using catering services in the Establishment, who uses the Service on the basis of acceptance of the relevant offer agreement of the Operator.

Operator of the Service / Operator - LLC "QRCHIK", the developer and exclusive copyright holder of the Service, a party to this Offer Agreement, who is also the owner of a set of software, hardware and organizational and legal tools that ensure technical and information interaction in automating the acceptance of Transfer of Tips in favor of Waiters in the Establishment .

Establishment is a legal entity or individual entrepreneur operating on the territory of the Republic of Uzbekistan, which is a public catering establishment and uses the Service in the manner and under the terms of an appropriate agreement with the Operator and provides catering services for its Guests.

Interfaces of the QRCHIK Service - the visual part of the QRCHIK Service visible to the Waiter including: (1) Web interface (2) Mobile web interface, (3) Telegram bot, as well as other interfaces that are implemented or can be implemented within the QRCHIK Service, using which the Guest has the opportunity to make Transfers of Tips in favor of the Waiter of this Establishment through the functionality specially implemented within the Service.

Waiter - an employee or other such capable individual who has the appropriate contractual relationship with the Establishment, performs the functions of a waiter in this Establishment, is connected by this Establishment to the Service and has accepted this Offer Agreement.

Tip is a monetary reward voluntarily paid by the Guest to the Waiter through the Service for his service services in the Establishment. The amount of such remuneration is determined by the Guest independently.

Transfer of Tips – non-cash funds paid by the Guest through the Service in favor of the Establishment Waiter for his service services, debited from the Guest Card account and credited to the Waiter Card account together with the relevant bank and/or payment organization on behalf and on behalf of the Guest. The amount of the Transfer of Tips is determined by the Guest independently.

Card - a payment card issued by a bank of the Republic of Uzbekistan or another credit institution operating in accordance with the legislation of the Republic of Uzbekistan and connected by the Waiter to the Service - a tool for accessing account management, allowing the Waiter to accept Transfers of Tips.

SUBJECT OF THE AGREEMENT

Under this Agreement, the Service Operator provides the Waiter with the opportunity to use the QRCHIK Service, which allows the Waiter to receive funds paid by the Guest to the Waiter as Tips on his Card account;

The use of the QRCHIK Service for the Waiter is paid and amounts to 5% of the amount of the Transfer of Tips made by the Guest in favor of the Waiter.

At the same time, the Service Operator provides only technical and information interaction when the Guest carries out operations provided for by the functionality of the Service, not prohibited by the legislation of the Republic of Uzbekistan, and is not responsible for debiting and crediting the corresponding funds in favor of the Waiter.

Responsibility in this case lies with the bank that issued the Guest Card, in accordance with the conditions and in the manner specified in the relevant offer/agreement of this bank and/or the payment organization through which such Transfers of Tips are made.

PROCEDURE FOR CONCLUSION OF AN AGREEMENT (ACCEPTANCE OF OFFER) AND PROVISION OF SERVICE

Connection (registration) of a Waiter in the Service is carried out by the Establishment with which this Waiter has a corresponding contractual relationship.

The waiter, connected to the Service in accordance with clause 3.1., in order to use the Service, carries out the following actions:

Enters the details of the Card connected to the subscriber mobile phone number of this Waiter

Enters the confirmation code received by the Waiter to his subscriber number in the appropriate Service Interface;

Gives his unconditional and full consent to the terms of this Offer Agreement through the implementation of actions implemented within the functionality of the Service;

The Operator has the right to refuse connection to the Service at its own discretion, in case of suspicion that the Service will be used for other purposes.

Performing actions provided for in clauses 3.2.1 – 3.1.3. of this Offer Agreement is an unconditional and unconditional confirmation of the Waiter’s consent (acceptance) to enter into an Agreement for the provision of services on the terms, in the manner and to the extent set forth in this Offer.

The rights and claims arising from the Waiter from the moment of conclusion of this Agreement cannot be transferred by the Waiter to third parties.

The Service is used by the Waiter by performing operations provided for by the functionality of the Service.

The Waiter is solely responsible for the correctness of the information specified in any applications placed in the Service through its Interfaces. Any such applications/instructions and/or other material are completed and sent by the Waiter through the appropriate Service Interface using the Operator’s software and hardware.

RIGHTS AND OBLIGATIONS OF THE PARTIES

The operator undertakes:

Ensure uninterrupted operation of the QRCHIK Service;

Provide information support to the Waiter through your Call Center and other methods available to the Operator;

Ensure the confidentiality of the Waiter's personal data;

Publish messages in the relevant Service Interfaces about changes to this Agreement and/or other significant events and news, as well as about changes introduced into the Service.

Participate in resolving disputes that arise between the Waiter and other Service Participants.

The operator has the right:

Refuse the Waiter to connect to or use the Service in case of suspicion that the Service will be used for other purposes, including, but not limited to, in case of violation of the terms of this Agreement and/or the requirements of current legislation and/or in case of suspicion that the Waiter, how - is involved in fraudulent transactions and/or operations for the legalization of proceeds from criminal activities and the financing of terrorism, as well as in other cases provided for by law.

Refuse the Waiter to perform a transaction within the Service if such action and/or inaction entails a violation by the Operator of the legislation of the Republic of Uzbekistan and/or this Agreement.

The waiter undertakes:

Use the Service in the manner specified in this Agreement.

Independently pay all relevant taxes in accordance with the current tax legislation of the Republic of Uzbekistan.

Monitor messages for the Waiter published by the Operator in the relevant interfaces of the Service. Follow the requirements contained in these messages.

Do not transfer your personal data and/or other details and data providing access to the Service to third parties (hereinafter referred to as the “Details for accessing the Service”).

Take the necessary organizational and technical measures to prevent illegal acquisition and use by third parties of the Details for accessing the Service.

Immediately notify the Operator of facts or suspicions of illegal use by third parties of the Credentials for accessing the Service, including in the event of loss (loss, theft or other means of loss) of access to the mobile phone number to which the Service is connected.

Do not carry out illegal financial transactions, illegal trade, transactions aimed at laundering proceeds from crime or financing of terrorism, or other actions prohibited by law through the Service.

Do not use the Service to carry out transactions aimed at systematically making a profit or hiding income.

RESPONSIBILITY OF THE PARTIES

The parties are responsible for failure to fulfill their obligations under the Agreement.

The waiter independently bears full responsibility for the correctness of the information specified in the order on the implementation of operations provided for by the functionality of the Service through the appropriate Service Interface and does not have the right to make any claims to the Service Operator in connection with the improper fulfillment by the Service Operator of its obligations under the Agreement, if erroneous information is indicated, unreliable and/or inappropriate data.

The Operator is not liable to the Waiter for delays and interruptions in the operation of technical platforms and transport networks or communication networks, the occurrence of which is not the fault of the Operator.

The waiter is responsible for all operations carried out by him in the Service.

The Operator is completely released from liability for complete or partial failure to fulfill its obligations under the Agreement, if the failure or improper performance is a consequence of force majeure circumstances of a man-made nature, namely: an accident (failure in operation) in power electrical or computer networks or other electrical communication systems used for the operation of the Service, as well as as a result of deliberate unlawful actions of third parties aimed at disrupting the functioning of the Service.

The operator is not responsible for the quality of operation of communication lines provided by other organizations and for the performance of equipment of other, including transit, nodes of data transmission networks belonging to other organizations that do not belong to it.

TERM AND PROCEDURE FOR TERMINATION OF THE AGREEMENT

The Agreement comes into force at the moment an individual accepts the Public Offer and is valid until the Parties fully fulfill their obligations under the Agreement.

The Waiter has the right to refuse to fulfill the Agreement at any time by leaving the Service in accordance with the functionality available in the Service Interfaces.

Termination of this Agreement does not mean termination of Agreements for paid services within the Service, if such services have been activated.

The Agreement may be terminated by the Operator unilaterally in accordance with the conditions specified in this Agreement.

FINAL PROVISIONS

The Waiter hereby gives his consent to the transfer and processing of his personal data by the Operator.

The processing of the specified personal data can be carried out by the Operator solely for the purposes of this Offer Agreement, as well as for the purpose of subsequently informing the Waiter about the news of the Service. The waiter gives his unconditional consent to such processing.

Receipt (collection) of the Waiter’s personal data can be carried out by the Operator at the time of registration of the Waiter in the Service or at another time.

At the same time, the Waiter hereby also gives his consent to the transfer and processing of the Waiter’s personal data to third parties, including government agencies, to the extent necessary for the execution of this Agreement.

All disputes that may arise under this Agreement shall be resolved through negotiations. If an agreement is not reached through negotiations, the parties resolve their differences in court in accordance with the current legislation of the Republic of Uzbekistan.

All issues not regulated by the Agreement are resolved in accordance with the current legislation of the Republic of Uzbekistan.
